Security

A priority lien will be registered against the asset equal to the Liquidity Facility. Escrow will be established to hold the title to the asset to prevent the registration of any further charges against the asset. In addition, a trust agreement with the related supporting documents will be released from escrow to facilitate the appointment of a new board of directors in the event of commencement of asset liquidation.
